2. Frequency and method of product delivery: The access link will be sent daily via SMS.
3. Price per unit of the product, the offered period: monthly charge of XXX per month. VAT included.

5. Mechanism for confirming explicit acceptance of the service: A simple, specific, orderly, sequential process, free of charge for the user. 4. Collection Mechanism when the user has no credit: Users are made aware that under no circumstances is the collection of payments cumulative or retroactive. The service validity period is taken into account from the exact day of subscription and from the moment the service is charged. This means that users do not accrue any debt for days when they do not have sufficient balance to collect the VAS service(s).

If the user has no balance on the subscription date, payment attempts will be made for only seven (7) consecutive days. If no payment is made within that period (7 days), the subscription will be automatically terminated.

Users without a balance will receive messages during the seven (7) consecutive days of payment attempts, as follows:

In case the user does not have sufficient balance for the service at the time of subscription, they will receive the following message: You Successfully Subscribed to (service name). To cancel a specific service, text EXIT + service name (Suffix) to the short number. To cancel all services associated with a short number, text EXIT. If there is no response: Continue with the active subscription. If an unsubscribe option responds: The user sends an MO with a number from the list and sends the message to the service’s short number: Example: 1 (to the service’s short number: 1446) Free MT information confirming the UNSUBSCRIPTION: Your subscription to (service name) has been canceled. The service has been canceled for your mobile line.

For the purposes of these Terms and Conditions, the following terms are defined: a) Works: Artistic creations in audio and/or video format. b) Louderband: Audio and/or video on-demand platform where the Works are made available to the public via the web. Also known as the Site. c) User: Any person who registers and/or accesses and/or uses the services provided by Louderband. d) Streaming: Service that allows audio and/or video to be transferred from a generation source so that Louderband Users can select the content and listen to and/or view certain content without the possibility of downloading.

User Information

To register and create an account on Louderband, the User must provide the Site with the following information by completing the form provided on Louderband for this purpose: a) Name and surname b) Email address The User is responsible for the veracity of the information provided.

Louderband Access Method

Louderband Users may access the Site. The service provision, the various access methods, and the content will be subject to the will, availability, and technical capacity of Louderband, which may change them at its sole discretion, without giving reasons and without prior notification to the User.

Access to the service

The User will access the service through their Account using a password, which is their sole responsibility. Use and access to the Account is strictly personal. The User may not reveal or provide their Account username and password to third parties. Without limiting the provisions set forth above, Louderband may decide to modify the Site’s features and registration and participation mechanisms at its sole discretion.

Free Access

The User may access all content available on Louderband under this modality free of charge. Louderband may terminate the content(s), the service, and/or Louderband at any time without this generating any rights in favor of the User. Louderband may establish paid access to Louderband at any time it deems appropriate. It may also terminate access at any time without giving reasons. The payment method will be informed by Louderband on each occasion and may be modified at its sole discretion. Louderband may modify the fee at its sole discretion, authorizing the User to pay using the selected payment method.

User Obligations

The User agrees to use the service and access Louderband in accordance with these Terms and Conditions and in compliance with applicable regulations. The User may only access the Works available on Louderband in accordance with, and subject to the limitations based on, their access method, and in full accordance with these Terms and Conditions. The User may not store, download, reproduce, distribute, disseminate, communicate or make available to the public, modify, use all or part of, or edit in any way, for any purpose or by any means the Works available on Louderband. The User will make personal, domestic (private) use of the Site and the content available on Louderband. The User may not use the content available on Louderband commercially, nor may they disseminate and/or make available to the public, nor make any illicit use thereof. The access permission granted by Louderband to the User is non-exclusive, temporary, and limited to the scope set forth in these Terms and Conditions. The User shall refrain from any act that may affect the normal operation of Louderband and/or in any way affect or alter the provision of the Service, as well as from circumventing or interfering with any protective measures of the Service and Louderband’s content. Louderband shall not be liable for the User’s conduct that affects third parties.

Contents. The Works. Quality

Louderband may modify the access method to the Works available on Louderband at any time and at its sole discretion. The technical and visual quality of the Works will be as available (as is), and may vary depending on the access device, technological transfer capability, location, etc., and other issues for which Louderband will not be responsible.

Updates

By subscribing to Louderband, as a software product, application, or browser plug-in, the User agrees that Louderband may periodically download and install any upgrades, updates, reduced applications, and additional features in order to improve and develop the service.

Intellectual Property

Louderband owns or has the rights to make the Works available through Louderband to the extent established in these Terms and Conditions. All Works and content that are part of Louderband, as well as the software, logos, icons, audiologists, and other artistic and creative aspects of Louderband, are protected by copyright, intellectual and industrial property law, and/or copyright. Louderband is a trademark protected by intellectual property law under the Law of the Argentine Republic and the international treaties to which the Argentine Republic has signed on the matter. The use of Louderband does not grant any intellectual property rights over our services or content accessed. The User may not use our content, our registered trademarks, or any trademarks that resemble ours, except with prior written consent from Louderband. Louderband’s software applications are licensed to the User, not sold, and Louderband retains ownership of all copies of the software applications, even after they have been installed on its devices. Louderband may remove any content it deems to infringe the rights of third parties, including, but not limited to, intellectual and industrial property rights, the dignity and/or personal rights of individuals, such as honor, name, and image, and may not be considered discriminatory and/or promote violence, nor should it violate morality and/or good customs.

Report of Violation

Louderband does not and cannot assume any duty or obligation to monitor the compliance of the Works with the legal system and third-party rights. Any person (hereinafter, the “Complainant”) may report that a User infringes the legal system and/or violates the rights of third parties, including, but not limited to, personal rights and intellectual and industrial property rights. Upon receiving a complaint, Louderband may automatically suspend the User who is the subject of the complaint, without any type of analysis and without the need for any notification. Simultaneously with receiving the complaint, Louderband will communicate the existence and content of the complaint to the User. Louderband assumes no responsibility of any kind nor does it assume the obligation to act in any way to decide whether the complaint is admissible. Any unlawful and/or abusive conduct by the Complainant shall be the sole responsibility of the Complainant, and any unlawful and/or abusive conduct by the User shall be the sole responsibility of the User, without Louderband being liable under any circumstances. The Complainant and the Users expressly and irrevocably accept the Content Reporting Mechanism established in the various sections of this point. In particular, Users may not make any type of claim for any reason related to the suspension and/or permanent elimination of Users and/or disqualification from the Contest. Without prejudice to the procedure established in the Content Reporting Mechanism, Louderband reserves the right to decide, at its sole discretion, at any time, to suspend and/or eliminate Users, and even disqualify Users from the Contest, all automatically and without any notification, when, in its opinion, there is a violation of the legal system, the rights of third parties, and/or the conditions. Users irrevocably and unconditionally agree that their Content may be removed at Louderband’s sole discretion. Therefore, they will not have any claim against Louderband should such removal be decided by Louderband.

Personal Data

Louderband adopts physical and computer security measures regarding the databases containing Personal Data. Notwithstanding the foregoing, Louderband does not guarantee Users against the unlawful use of Personal Data by third parties. Consequently, Louderband does not guarantee or assume any liability for damages, including but not limited to direct or indirect, mediate, immediate, consequential, moral or patrimonial damages, emerging damages, loss of profits and/or loss of opportunity, that may arise from the alteration, loss, processing, unauthorized access or unlawful use of Personal Data by third parties. Users shall be liable for any damages that Louderband, its subsidiaries or controlling companies, directors, employees and/or third parties may suffer as a result of the lack of veracity, inaccuracy, validity or authenticity of the Personal Data. Users agree to hold Louderband, its subsidiaries or controlling companies, directors, and employees harmless from any and all claims, losses, expenses, and/or damages of any kind, including, but not limited to, direct or indirect, mediate, immediate, consequential, moral, or patrimonial damages, emerging damages, lost profits, and/or loss of opportunity, arising from the conduct and/or activity of Users that violates the law, the rights of third parties, and/or the terms and conditions, and/or that are legally attributable to Users. Louderband may use cookies in connection with the Site. Cookies are a tool used by web servers to store and retrieve information about their visitors. Cookies may eventually be installed on Users’ computers when they browse the Site. The cookies used by Louderband are only associated with an anonymous User and their computer and do not provide references that allow the User’s first and last name to be deduced, nor can they retrieve data from their hard drive. Users may freely decide whether or not to install the cookies used by Louderband on their hard drive by configuring their browser accordingly. The National Directorate for the Protection of Personal Data, the Supervisory Body of Law No. 25,326, is responsible for handling complaints and claims filed regarding noncompliance with Personal Data protection regulations.

Information

Louderband may collect information regarding the User’s use of Louderband and access to various content. This information includes the Works accessed, access history, searches performed, technical connectivity aspects (devices, connection type, etc.), and any other information related to access and/or use of the service. Louderband undertakes to use this information privately and not to sell or transfer it to third parties, and to comply with current regulations on the matter. Louderband will use and analyze this information to administer, improve, and optimize Louderband and the provision of the service, keep statistical records of access methods and content, payments, etc.

Operation of Louderband

Louderband does not guarantee in any way the inviolability of its systems and/or the Site, nor the availability and/or continuity of the Site’s operation, and excludes any liability for damages of any kind that may arise from the lack of availability or continuity of the Site’s operation.

 Validity

 The partial invalidity of one or more provisions of these Terms and Conditions does not affect their validity and enforceability. In such a case, the invalid provision will be deemed unwritten, without affecting the validity of the remaining provisions.

 Jurisdiction and Competence

The interpretation of these Terms and Conditions, claims of breach hereof and all other claims (including claims for consumer protection, unfair competition and extracontractual liability), and all disputes arising from or related to these Terms and Conditions, regardless of conflict of laws principles, and any matter arising from or in connection with this shall be subject to the jurisdiction of the ordinary civil courts of the Nation, with waiver of any other exceptional jurisdiction.
